Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CERA platform, including our web application, mobile applications, and related services (collectively, the "Service"), operated by CERA Software, Inc. ("CERA," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Description of Service

CERA is a real-time multi-agency threat management platform designed to support first responders, incident commanders, event managers, and other authorized users during critical events. The Service includes real-time location tracking, situational awareness tools, communication features, a duress alerting application, and related functionality.

2. Account Registration and Eligibility

To use the Service, you must create an account or have an account created on your behalf by an authorized administrator within your organization. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify CERA immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. If you are under 18, you may only use the Service under the supervision of an authorized adult within a participating organization (for example, students using the duress app under school administration).

3. Acceptable Use

You agree to use the Service only for its intended purposes and in compliance with all applicable laws and regulations. You may not:

• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use the Service to transmit any viruses, malware, or other harmful code.
• Use the Service to collect or harvest personal information of other users without authorization.
• Reproduce, distribute, modify, or create derivative works based on the Service without our prior written consent.
• Use the Service in any manner that could damage, disable, overburden, or impair the Service.

4. SMS/Text Messaging Terms

As part of the Service, CERA may send SMS or text messages to your registered mobile phone number. By providing your phone number and using the Service, you consent to receive transactional SMS messages from CERA, including but not limited to:

• Account registration confirmations and setup links.
• Login verification links (magic links).
• Critical event alerts and notifications.

Message Frequency: Message frequency varies based on your account activity and event participation.

Message and Data Rates May Apply. Please contact your wireless carrier for details about your messaging plan.

Opt-Out: You may opt out of SMS messages at any time by replying STOP to any message from CERA. Opting out may limit your ability to use certain features of the Service, including login verification.

Supported Carriers: Major U.S. wireless carriers are supported. Carriers are not liable for delayed or undelivered messages.

5. Intellectual Property

The Service, including all content, features, functionality, software, design, text, graphics, logos, and trademarks, is the exclusive property of CERA Software, Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Your use of the Service does not grant you any ownership interest in the Service or its content. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

6. User Content

You may submit, upload, or transmit content through the Service, including messages, alerts, and location data ("User Content"). You retain ownership of your User Content, but you grant CERA a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your User Content as necessary to provide and improve the Service.

You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate any applicable law or the rights of any third party.

7. Privacy

Your use of the Service is subject to our Privacy Policy, available at https://ceraapp.com/privacy-policy. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

8. Availability and Modifications

We strive to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Third-Party Services

The Service may integrate with or provide access to third-party services, platforms, or content. CERA does not control or endorse any third-party services and is not responsible for their availability, accuracy, content, or practices. Your use of third-party services is governed by the respective third party's terms and policies.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CERA does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. CERA does not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.

The Service is designed to support situational awareness during critical events but is not a substitute for professional judgment, established protocols, or emergency services. CERA does not guarantee any particular outcome from the use of the Service.

11. Limitation of Liability

To the maximum extent permitted by law, CERA Software, Inc. and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or damages arising from the use or inability to use the Service, even if CERA has been advised of the possibility of such damages.

To the maximum extent permitted by law, CERA's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the amount you have paid to CERA in the twelve (12) months preceding the event giving rise to the liability, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless CERA Software, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of any third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue in effect.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CERA regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral.

17. Changes to These Terms

We reserve the right to update these Terms from time to time. Changes will be communicated via written notice at least 7 days prior to their effective date. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
